General Terms and Conditions of Business and Delivery of wf plastic GmbH

 

  • 1 General, scope of application of the terms and conditions

Deliveries, services and offers of wf plastic GmbH, Heydastraße 16, 58093 Hagen.
CEO: Bernd Fein

Local Court: Hagen HRB 10365, VAT ID No.: DE233804796, are made exclusively on the basis of these terms and conditions.

The terms and conditions shall therefore also apply to all future business relations, even if they are not expressly agreed again. Any terms and conditions of the customer/business partner that contradict or deviate from the terms and conditions of wf plastic GmbH shall not be recognised, irrespective of how the customer/business partner announces its terms and conditions. Counter-confirmations of the customer/business partner with deviating conditions are hereby already contradicted. Deviations from these general terms and conditions of delivery shall only be effective if wf plastic GmbH confirms them in writing. All agreements made between wf plastic GmbH and the customer/business partner for the purpose of executing the contract must be in writing. Transmission by telecommunication is sufficient.

  • 2 Offer and conclusion of contract

The offers of wf plastic GmbH are subject to change and non-binding. Declarations of acceptance and all orders shall only become legally effective upon written confirmation by wf plastic GmbH. The same shall apply to supplements, amendments, deviating agreements or subsidiary agreements. Drawings, illustrations, dimensions, weights or other performance data or properties are only binding if this is expressly agreed in writing.

  • 3 Pricing, price change

The prices stated by wf plastic GmbH in the order confirmation plus the respective statutory value added tax shall be decisive. Additional deliveries and services shall be invoiced separately. If the customer/business partner changes the order after the order confirmation has been issued, the customer/business partner shall be obliged to bear the additional costs incurred as a result. The amount of these costs depends on the respective degree of production. Unless otherwise agreed, the prices are ex works excluding packaging and freight. Special features for services, education, further education and training measures are regulated in § 11 of the general terms and conditions of business and delivery. If the customer/business partner is a merchant, a legal entity under public law or a special fund under public law, the following shall apply: If the completion of the work is delayed by 6 months for reasons within the customer's/business partner's sphere of influence and if wages, material costs or market cost prices increase until completion, wf plastic GmbH shall be entitled to increase the price appropriately in accordance with the cost increases.

  • 4 Payment, due date

Unless otherwise agreed in writing, the remuneration claims of wf plastic GmbH are to be paid from receipt of the invoice. If the customer/business partner defaults on payment, wf plastic GmbH is entitled to charge default interest of 8.0% above the base rate. The same interest rate shall apply to bills of exchange from the time of acceptance. wf plastic GmbH shall be entitled to initially offset payments against the customer's/business partner's older debts, despite any provisions of the customer/business partner to the contrary. If costs and interest have already been incurred, wf plastic GmbH shall be entitled to offset the payment first against the costs, then against the interest and finally against the main claim. Payment shall only be deemed to have been made when wf plastic GmbH can dispose of the amount; in the case of payment by cheque when the cheque is cashed. If the customer/business partner does not fulfil his payment obligations, if he does not honour a cheque, if he stops his payments or if other circumstances become known which give rise to doubts about the creditworthiness of the customer/business partner, wf plastic GmbH shall be entitled to make the entire remaining debt due, even if it has accepted cheques. In this case wf plastic GmbH shall also be entitled to demand advance payments or securities and to withdraw from current contracts. The customer/business partner shall only be entitled to set-off, retention or reduction, even if notices of defects and counterclaims are asserted, if the counterclaims have been legally established or recognised by wf plastic GmbH. All costs associated with the payment shall be borne by the customer/business partner.

  • 5 Delivery time and delay

The delivery time stated by wf plastic GmbH in the order confirmation shall be deemed to be only approximately agreed and is not binding. A binding delivery period requires an express written agreement. Delivery periods shall not commence until all details of the order have been fully clarified. In the event of subsequent changes to the scope of delivery, the delivery period shall be extended accordingly. Delivery dates and deadlines refer to the time of readiness for dispatch. Delivery and performance delays due to force majeure and due to events which make delivery considerably more difficult and impossible for wf plastic GmbH - this also includes material procurement difficulties, operational disruptions of any kind, strike, lockout, lack of personnel, lack of means of transport, official directives etc., even if they occur at suppliers of wf plastic GmbH or their sub-suppliers, shall not be the responsibility of wf plastic GmbH, even in the case of bindingly agreed deadlines and dates. They shall entitle wf plastic GmbH to postpone the delivery or service and the duration of the hindrance plus an appropriate start-up period or to withdraw from the contract in whole or in part due to the part not yet fulfilled. If the delay lasts longer than 3 months, the customer/business partner is entitled to withdraw from the contract with regard to the part not yet fulfilled after unsuccessfully setting a reasonable deadline for performance. Claims of the customer/business partner for damages, in particular according to §§ 280 ff. BGB shall be excluded in all these cases, unless wf plastic GmbH or its vicarious agents or assistants have caused the reason for withdrawal intentionally or through gross negligence. However, the amount of the claim shall be limited to 15 % of the order sum (without value added tax).

  • 6 Transfer of risk

The risk shall pass to the customer/business partner as soon as the consignment has been handed over to the person carrying out the transport or has left the factory or warehouse of wf plastic GmbH for the purpose of dispatch, irrespective of who bears the freight costs. If the shipment is delayed through no fault of wf plastic GmbH, the risk shall pass to the customer/business partner upon receipt of the readiness for shipment.

  • 7 Rights and obligations of the customer/business partner in the event of defects
  1. The legal warranty is 24 months for new parts and 12 months for used goods. Within the first 6 months, the burden of proof that the defect was not already present at the time of sale lies with wf plastic GmbH. After that, the burden of proof lies with the buyer.
  2. The customer/business partner shall notify wf plastic GmbH in writing of any defects discovered without delay, at the latest within one week of receipt of the delivery. Defects which cannot be detected within this period even after careful inspection shall be reported to the
    wf plastic GmbH in writing immediately after discovery. If the customer/business partner fails to report a defect in good time, the delivered goods shall be deemed to have been approved, i.e. rights of the customer/business partner due to defects shall be excluded.
  3. If the customer/business partner notifies wf plastic GmbH of a defect in good time, his rights shall be governed by the statutory provisions of §§ 437 - 444 BGB with the following modifications:
    1. The supplementary performance is limited to the right to demand elimination of the defect. The manner and place of the rectification of defects shall be determined by wf plastic GmbH. Instead of rectifying the defect, wf plastic GmbH reserves the right to deliver a defect-free item. In this case the customer/business partner shall be obliged to return the defective item to wf plastic GmbH on request. If the customer/business partner requests that the subsequent performance is carried out at a location determined by him, wf plastic GmbH can comply with this request, whereby the additional expenses in terms of working time, travel costs and expenses are to be borne by the customer/business partner at the standard rates of wf plastic GmbH.
    2. Subject to the provision in § 12, the claim for damages shall only exist for damages which wf plastic GmbH or its vicarious agents or assistants have caused intentionally or by gross negligence and shall not extend to compensation for damages which have not occurred to the product itself.
    3. The claims of the customer/business partner in the event of defects shall become statute-barred after one year, beginning with the delivery of the item to the customer/business partner.
  4. Only the direct customer/business partner is entitled to the rights in the event of defects and these are not assignable. The rights in the event of defects are excluded in the case of:
    1. insignificant defects;
    2. Failure to follow operating or maintenance instructions of the
      wf plastic GmbH;
    3. changes made to the products by the customer/business partner;
    4. Replacing parts or using consumables that do not meet the original specifications;
    5. improper handling, use or repair of the products as well as faulty or improper storage;
    6. Conditions of use of the products which have not been previously agreed between the customer/business partner and wf plastic GmbH as the basis for the order;
    1. Opening the devices and products.
  1. Acts of the customer/business partner which lead to the exclusion of rights in the event of defects shall be equivalent to the corresponding acts of third parties from the sphere of the customer/business partner, in particular the toolmaker commissioned by the customer/business partner to whom wf plastic GmbH delivers the product directly on the instructions of the customer/business partner.
  • 8 Return of standard components

    wf plastic GmbH is not obliged to take back a defect-free work manufactured in accordance with the order, even if the customer/business partner later discovers that he does not need or cannot use the work in whole or in part. However, wf plastic GmbH is prepared to take back unused components. Whether the return takes place will be decided by wf plastic GmbH in the respective individual case.
    The returned goods will be credited to the customer/business partner of wf plastic GmbH. wf plastic GmbH is entitled to charge a processing fee of at least 20.0% of the credit amount for the additional expenditure incurred with the return of the goods and to deduct this immediately from the credit amount.

  • 9 Reservation of ownership

Until fulfilment of all claims (including all balance claims from current account) to which wf plastic GmbH is entitled against the customer/business partner for any legal reason now or in the future, wf plastic GmbH shall be granted the following securities by the customer/business partner, which it shall release at its discretion at the request of the customer/business partner insofar as their value exceeds the claims by more than 20.0%:

  1. The goods remain the property of wf plastic GmbH. Processing and transformation of the goods shall always be carried out for wf plastic GmbH as manufacturer, however without any obligation for the latter. If the ownership of wf plastic GmbH lapses as a result of combination, it is already agreed now that the ownership of the customer/business partner in the uniform item shall pass to wf plastic GmbH in proportion to the value (invoice value). The customer/business partner shall shop the property of wf plastic GmbH free of charge. Goods to which the seller is entitled to ownership are hereinafter referred to as reserved goods.
  2. The customer/business partner is entitled to process and sell the reserved goods in the ordinary course of business as long as he is not in default. Pledges or transfers of ownership by way of security are not permitted. The customer/business partner hereby assigns to wf plastic GmbH by way of security all claims arising from the resale or any other legal grounds (insurance, tort) with regard to the goods subject to retention of title (including all balance claims from the current account).
    wf plastic GmbH revocably authorises him to collect the claim assigned to wf plastic GmbH for his account in his own name. The direct debit authorisation can only be revoked if the customer/business partner does not properly fulfil his payment obligations or if bills of exchange or cheques are protested. In the event of access by third parties to the goods subject to retention of title, the customer/business partner shall draw attention to the ownership of wf plastic GmbH and inform the latter immediately.
  3. In the event of conduct in breach of contract on the part of the customer/business partner, in particular in the event of default in payment, wf plastic GmbH shall be entitled to withdraw from the contract if it has previously set the customer/business partner a reasonable deadline for performance without success and this deadline has expired. A period of 2 weeks is appropriate. § 323 Para. 2 ff. BGB shall apply accordingly.
  • 10 Construction changes

wf plastic GmbH reserves the right to make changes to the design or shape at any time, in particular if such changes are required by law. However, it is not obliged to make such changes to products that have already been delivered.

  • 11 Special Conditions for Education, Training and Other Services

1.applications for service:
Registration for participation in training measures or other services of wf plastic GmbH shall be made on the registration form or in another form in writing, stating the company name, the invoice address and the respective designation. The registration is binding if it is signed and reaches the company wf plastic GmbH by post, fax or email.

  1. Confirmation of registration for training measures:
    Mit Erhalt der Anmeldebestätigung erwirbt der Teilnehmer das Recht, an der Ausbildungsmaßnahme teilzunehmen. Solange die Durchführung der Veranstaltung z.B. wegen Terminproblemen noch nicht endgültig feststeht, erhält der Teilnehmer auf seine Anmeldung zunächst nur eine Eingangsbestätigung.
  1. Fees/costs for training measures:
    The fees/costs are to be paid in full or 50 percent immediately after receipt of the invoice, which will be sent with the confirmation of registration. We reserve the right to make a possible advance payment for further travel activities.

    The fees/costs are to be transferred in full immediately after receipt of the invoice. We reserve the right to make an advance payment for larger projects or further travel.
  1. Withdrawal from trainings:
    Cancellations up to four weeks before a training course do not incur cancellation fees if an alternative date for the training course is agreed. If the withdrawal takes place later than four weeks, an amount of 10% of the net event fee will be charged for the additional processing costs, even if an alternative date is agreed. If the cancellation takes place later than four weeks, but at least two weeks before the start of the training, without an alternative date being agreed, 50 % of the total net fee will be charged, unless wf plastic GmbH can prove a higher damage. If the withdrawal takes place later than two weeks before the start of the training without an alternative date being agreed, the total net amount is due unless wf plastic GmbH can prove a higher damage or the company can prove a lower damage. To meet the deadline, the withdrawal must be made by post, fax or email.
  1. Withdrawal for services:
    In case of cancellation up to 3 weeks before a firmly scheduled service, an administrative fee of EUR 50,- is due. If the cancellation takes place within the period of 3 weeks to 1 week before the service, an amount of 25.0% of the payment is due. If the withdrawal takes place later than 1 week before the service or if the appointment is not cancelled, the entire payment will be due. To meet the deadline, the withdrawal must be made by post, fax or email.
  1. Change of instructor:
    If a trainer is absent due to illness or other unforeseeable reasons, wf plastic GmbH may, in order to avoid a cancellation of the training measure, change the trainer or cancel the measure.
  1. Cancellation of all services:
    If a service has to be cancelled for unforeseeable reasons, such as the absence of an instructor, or for other organisational reasons, immediate notification will be given. The fee paid will be refunded immediately. Further claims are excluded.
  1. Hotel bookings:
    If a limited room contingent is offered at special conditions in the event hotel for training measures lasting several days, this is available for a limited period of time. The participant makes the room reservation in this hotel himself/herself and informs the hotel that he/she is a participant in an event of wf plastic GmbH. The participant is responsible for cancellations or rebookings.

    The accompanying working documents provided to the participants of an event are protected by copyright. They may not be reproduced without the consent of the author.
  1. Disclaimer:

  wf plastic GmbH accepts no liability for any damage to property or personal injury during a training measure or other services.

  1. Data Privacy
    Die wf plastic GmbH verarbeitet ihr übermittelte Daten, auch persönlich bezogene Daten, ausschließlich zu Zwecken der Leistungsorganisation und -durchführung.
  • 12 Geheimhaltung

Soweit nicht ausdrücklich schriftlich anderes vereinbart, sind die, der
wf plastic GmbH im Rahmen der Geschäftsbeziehung der Parteien vom Kunden/Geschäftspartner mitgeteilten oder ihr sonst bekannt gewordenen, Informationen nicht vertraulich.

  • 13 Haftung

Für die Haftung der wf plastic GmbH gilt § 7 Abs. 2b der Allgemeinen Geschäfts- und Lieferbedingungen entsprechend. Alle dort nicht ausdrücklich zugestandenen Ansprüche, auch solche auf Schadensersatz, gleich aus welchem Rechtsgrund, sind, soweit rechtlich zulässig, ausgeschlossen. Im Übrigen haftet die wf plastic GmbH nur nach dem Produkthaftungsgesetz, wegen der Verletzung des Lebens, des Körpers oder der Gesundheit oder wegen der schuldhaften Verletzung wesentlicher Vertragspflichten. Außerhalb der Haftung nach dem Produkthaftungsgesetz erstreckt sich der Schadensersatzanspruch für die Verletzung wesentlicher Vertragspflichten auch in Fällen grober Fahrlässigkeit nicht auf Schäden, die nicht am Produkt selbst entstanden sind.

  • 14 Anwendbares Recht

Für diese Geschäftsbedingungen und die gesamten Rechtsbeziehungen zwischen den Parteien gilt deutsches Recht unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Sachen, auch wenn der Kunde/Geschäftspartner seinen Sitz im Ausland hat.

  • 15 Gerichtsstand

Bei allen sich aus dem Vertragsverhältnis unmittelbar oder mittelbar ergebenden Streitigkeiten ist der Gerichtsstand 093 Hagen, wenn es sich bei dem Kunden/Geschäftspartner um einen Kaufmann, eine juristische Person des öffentlichen Rechtes oder ein öffentlich-rechtliches Sondervermögen handelt. Die wf plastic GmbH ist jedoch berechtigt, am Sitz des Kunden/Geschäftspartners zu klagen.

  • 16 Teilnichtigkeit

Sollte eine Bestimmung in diesen Allgemeinen Lieferbedingungen oder eine Bestimmung im Rahmen sonstiger Vereinbarungen unwirksam sein oder werden, bleibt die Wirksamkeit aller übrigen Bestimmungen und Vereinbarungen davon unberührt.

  • 17 Erweiterte Verkaufs- und Lieferbedingungen

Lieferungen, Verpackung, Versand und Versicherung sind im Angebot hinterlegt. Die Gewährleistung beträgt 12 Monate ab Auslieferung. Die Gewährleistung umfasst die kostenlose Reparatur (Arbeitszeit und Teile) von Herstellungsfehlern für neu gelieferte Prüfrahmen, mechanische Komponenten, Zubehör. Sollte ein Serviceeinsatz innerhalb des Gewährleistungszeitraumes nicht durch die Gewährleistungsbedingungen abgedeckt sein, behält sich die wf plastic GmbH vor, die angefallenen Kosten zu berechnen.

Geräteentsorgung:

Alle in diesem Angebot aufgeführten Positionen, Preise und Vertragspflichten berücksichtigen die EU-Richtlinie 2011/65/EU über Elektro- und Elektronik-Altgeräte (WEEE). Geräte, die Gegenstand eines Angebots sind, fallen nur unter diese Richtlinie, wenn dies ausdrücklich im Angebot genannt wird. Dementsprechend liegt die Entsorgung der Geräte nach Ablauf der Nutzungsdauer in der Verantwortung des Kunden. Wenn und in dem Umfang, wie die Richtlinie auf diese Geräte anwendbar ist, ist ausschließlich der Kunde für Finanzierung und Durchführung von Sammlung, Aufbereitung, Wiederverwertung und umweltverträgliche Entsorgung der Elektro- und Elektronik-Altgeräte gemäß EU-Richtlinie 2011/65 und deren nationaler Umsetzung verantwortlich. Wenn die Altgeräte zu entsorgen sind, stellt der Kunde dem Hersteller alle zur Sammlung, Aufbereitung, Wiederverwertung und umweltverträgliche Entsorgung der Altgeräte relevanten Information zur Verfügung. Wenn der Kunde diese Verpflichtung nicht erfüllt, haftet er dem Hersteller für entstehende Schäden. Der Kunde muss sicherstellen, dass er in der Lage ist, dieser Verpflichtung nachzukommen, selbst wenn er die Altgeräte weiterverkauft. Der Kunde hält den Hersteller in vollem Umfang, den das Gesetz zulässt, schad und klaglos gegen Strafen, Schäden und Forderungen aus der Nichterfüllung dieser Verpflichtung. Falls das Gerät, das Gegenstand dieses Angebots ist, ein historisches Altgerät im Sinne von Artikel 9, Absatz 2 der Richtlinie (WEEE) ersetzen soll, schließt die wf plastic GmbH die Entsorgung des historischen Altgerätes und die Verantwortung dafür ausdrücklich aus diesem Angebot und einem daraus folgenden Vertrag aus.

CE-Zeichen:

Geräte werden mit einer Konformitätserklärung des Herstellers gemäß der folgenden EU-Richtlinien geliefert: EMV-Richtlinie 2014/30/EU und Maschinenrichtlinie 2014/35/EU.

Export Kontrolle:

Der Käufer nimmt zur Kenntnis, dass der Export der hier angebotenen Waren und Technologien dem Export Kontrollregelwerk der USA und/oder Großbritannien und/oder Deutschland in der jeweils aktuellen Fassung unterliegt. Mit der Anerkennung dieses Angebots/Vertrags und der Ausfertigung eines Auftrags über diesen Umfang/Inhalt akzeptiert der Käufer rechtsverbindlich die Waren und Technologien nicht für Anwendungen in Verbindung mit chemischen, biologischen oder nuklearen Waffensystemen oder Raketensystemen für den Transport solcher Systeme oder zur Unterstützung terroristischer Aktivitäten jeglicher Art oder anderer Massenvernichtungsmittel einzusetzen. Weiterhin dürfen die Waren und Technologien nicht weiterverkauft werden, wenn der Verdacht besteht oder bekannt ist, dass ein solcher, o.g. Einsatzzweck vorgesehen ist. Für den Fall, dass durch die Verweigerung einer staatlichen Lizenz, Zustimmung, Erlaubnis oder anderer Autorisierung ein Auftrag/Vertrag oder Folgeauftrag/-vertrag nicht erfüllt werden kann, stellt der Käufer die wf plastic GmbH von allen Ansprüchen, Garantien oder Konsequenzen jeglicher Art frei.

Sicherheitshinweise:

Die Produkte der wf plastic GmbH entsprechen nach bestem Wissen einer Vielzahl von nationalen und internationalen Sicherheitsstandards soweit diese für die Material- und Bauteilprüfung relevant und anwendbar sind. Die Übereinstimmung unserer Produkte mit allen relevanten EU-Richtlinien (CE Kennzeichen) ist durch die wf plastic GmbH zertifiziert. Aufgrund der vielfältigen Anwendungen für den Einsatz unserer Mess- und Prüfsysteme, über die wir keinerlei Kontrolle haben, ist es möglich, dass zusätzliche Sicherheitseinrichtungen oder Arbeitsanweisungen für die Einhaltung von Unfallverhütungsvorschriften (UVV), Sicherheitsvorschriften, EEA Direktiven oder nur lokal anwendbare Richtlinien notwendig sind. Der Umfang unserer Lieferung wird in diesem Angebot definiert. Die wf plastic GmbH trägt daher keine Verantwortung in diesem Aspekt. Wir empfehlen unseren Kunden daher eine eigene Gefahrenanalyse unter Einbeziehung dieser Einflüsse durchzuführen. Auf speziellen Wunsch bieten wir gerne zusätzliche Sicherheitseinrichtungen und Warnschilder oder ähnlich an.

Preisstellung:

Wenn im Angebot nicht anders vermerkt gilt: 14 Tage Rechnungsstellung, Nettopreise ohne Abzug, zzgl. Mehrwertsteuer gültig innerhalb Europäischer Union.

  • 18 Salvatorische Klausel

Wenn die Geschäftsbedingungen eine Lücke enthalten oder eine Bestimmung ganz oder teilweise unwirksam ist oder wird, so bleiben die Geschäftsbedingungen im Übrigen wirksam. Der Inhalt der Geschäftsbedingungen regelt sich nach den gesetzlichen Bestimmungen. Anstelle der fehlenden oder unwirksamen Bestimmung gilt eine solche Bestimmung als vereinbart, die dem von den Parteien ursprünglich beabsichtigten Zweck der fehlenden oder unwirksamen Bestimmung am nächsten kommt. Die Parteien versprechen hiermit, diese neuen Regelungen ohne Verzug zum formellen, ergänzenden Bestandteil dieser Geschäftsbedingungen werden zu lassen.

  • 19 Sonstiges

Will der Kunde/Geschäftspartner Rechte und Pflichten aus dem, mit der wf plastic GmbH geschlossenen, Vertrag auf Dritte übertragen, so bedarf die Übertragung zu ihrer Wirksamkeit der schriftlichen Zustimmung der wf plastic GmbH.
